AGREEMENT made as of December 22, 2009, by and among each of The Charles Schwab Family of Funds and Schwab Annuity Portfolios, each a Massachusetts business trust (each a “Trust” and, collectively, the “Trusts”), on behalf of any of the Trusts’ money market series now existing or which may be created in the future (each a “Fund” and, collectively, the “Funds”), Charles Schwab Investment Management, Inc., a Delaware corporation (“CSIM”), and Charles Schwab & Co., Inc., a California corporation (“Schwab”).
