THIS AMENDMENT NO. 2 TO SECOND AMENDED AND RESTATED CREDIT AGREEMENT, dated as of April 8, 2010, amends and supplements the Second Amended and Restated Credit Agreement dated as of April 10, 2009, as amended by Amendment No. 1 to Second Amended and Restated Credit Agreement dated as of July 31, 2009 (as so amended, the “Credit Agreement”), among LADISH CO., INC., a Wisconsin corporation (the “Company”), the financial institutions parties hereto (individually a “Lender” and collectively the “Lenders”) and U.S. BANK NATIONAL ASSOCIATION, as agent for the Lenders (in such capacity, the “Agent”).
