This Purchase Agreement (this “Agreement”), dated as of May 7, 2009, is by and between Ctrip.com International, Ltd., a company organized under the laws of the Cayman Islands (the “Purchaser”), and Home Inns & Hotels Management Inc., a company organized under the laws of the Cayman Islands (the “Company”). The Purchaser and the Company are sometimes herein referred to each as a “Party,” and collectively as the “Parties.”

THIS REGISTRATION RIGHTS AGREEMENT (the “Agreement”) is made and entered into as of May 7, 2009, by and among Home Inns & Hotels Management Inc., a Cayman Islands company (the “Company”) and Ctrip.com International, Ltd., a Cayman Islands company (the “Purchaser”). Terms used but not otherwise defined herein shall have the meanings assigned to them in that certain Purchase Agreement dated as of May 7, 2009 (the “Purchase Agreement”) by and between the Company and the Purchaser.
