VOTING AGREEMENT, dated as of April 30, 2010 (this “Agreement”), by and between Regency Haynesville Intrastate Gas LLC, a Delaware limited liability company (“Regency”), and EFS Haynesville, LLC, a Delaware limited liability company (“EFS”) (Regency and EFS are referred to herein as “Parties” and each as a “Party”).

This Assignment and Assumption Agreement (this “Agreement”) is made effective as of April 30, 2010 (the “Effective Date”), between EFS Haynesville, LLC, a Delaware limited liability company (“Assignor”), and Regency Haynesville Intrastate Gas LLC, a Delaware limited liability company (“Assignee”). Assignor and Assignee are referred to in this Agreement individually as a “Party” and collectively as the “Parties”.
