This REGISTRATION RIGHTS AGREEMENT dated as of April 29, 2010 (the “Agreement”) is entered into by and among BioMed Realty, L.P., a Maryland limited partnership (the “Operating Partnership”), BioMed Realty Trust, Inc., a Maryland corporation (the “Guarantor”), and Wells Fargo Securities, LLC, Credit Suisse Securities (USA) LLC and Deutsche Bank Securities Inc., as representatives (the “Representatives”) of the several initial purchasers (the “Initial Purchasers”).

INDENTURE dated as of April 29, 2010 among BioMed Realty, L.P., a Maryland limited partnership (hereinafter called the “Issuer”), BioMed Realty Trust, Inc., a Maryland corporation (hereinafter called the “Guarantor” or, in its capacity as the sole general partner of the Issuer, the “General Partner”), each having its principal office at 17190 Bernardo Center Drive, San Diego, California 92128, and U.S. Bank National Association, as trustee hereunder (hereinafter called the “Trustee”).
