This STOCK PURCHASE AGREEMENT, dated as of May 3, 2010 (this “Agreement”), by and among THE LPA GROUP INCORPORATED, a South Carolina corporation (the “Company”), ARTHUR E. PARRISH, an individual (“Parrish”), ROBERT GLEN LOTT, an individual (“Lott” and, together with Parrish, the “Significant Shareholders” and, together with the Company, the “Seller Parties”), ARTHUR E.
