THIS PURCHASE AGREEMENT, dated as of May 5, 2010, is made by and among John B. Sanfilippo & Son, Inc., a Delaware corporation (the “Purchaser”), and Orchard Valley Harvest, Inc., a California corporation (the “Seller”). The Seller and the Purchaser are sometimes referred to herein individually as a “Party” and collectively as the “Parties.” Capitalized terms used herein are defined in Article I below.
