This Amended and Restated Employment Agreement (this “Agreement”) made and entered into as of the 1st day of March, 2007 and amended and restated as of the 28th day of April 2008 between ViewCast.com, Inc. (the “Employer”), a corporation, and Laurie L. Latham (the “Executive”), residing at 700 Brook Meadows Court, Southlake, TX 76092. is hereby amended and restated as of May 18, 2010. Where not otherwise defined herein, capitalized terms used herein have the meanings set forth in Section 9.1 of this Agreement.
