This REGISTRATION RIGHTS AGREEMENT, dated as of May 21, 2010 (this “Agreement”), is entered into by and between Furniture Brands International, Inc., a Delaware corporation (the “Company”), and EVERCORE TRUST COMPANY, N.A., solely in its capacity as duly appointed and acting investment manager (the “Manager”) of a segregated account held in the Furniture Brands Master Pension Trust (the “Trust”) created under the Furniture Brands Retirement Plan (the “Plan”).
