Amended and Restated Credit Agreement (“Agreement”) dated as of May 28, 2010 among LIFE TECHNOLOGIES CORPORATION, a Delaware corporation (the “U.S. Borrower”), APPLIED BIOSYSTEMS B.V., a company organized under the laws of the Netherlands (“ABBV”), APPLIED BIOSYSTEMS FINANCE B.V., a company organized under the laws of the Netherlands (“ABFBV”), LIFE TECHNOLOGIES HOLDINGS B.V., a company organized under the laws of the Netherlands (“LTHBV”), each lender from time to time party hereto (collectively, the “Lenders” and, individually, a “Lender”) and BANK OF AMERICA, N.A., as Administrative Agent, Swing Line Lender and L/C Issuer.
