This Amended and Restated UVAPF/PGx License Agreement (this “Agreement”), effective on the 22nd day of April, 1999 (the “Effective Date”), is amended and restated as of June 4, 2010 (the “Amendment Effective Date”) by and between the University of Virginia Patent Foundation, a not-for-profit corporation of the Commonwealth of Virginia having its principal offices at 250 West Main Street, Suite 300, Charlottesville, VA 22902 (“UVAPF”); and PGxHealth, LLC, a Delaware limited liability company having its principal offices at One Gateway Center, Suite 702, Newton, MA 02458 (“PGx”), as successor in interest to Adenosine Therapeutics, LLC (“ATI”).
