THIS FIRST AMENDMENT TO CREDIT AGREEMENT (herein called this “Amendment”) dated as of June 16, 2010, among ENERGY PARTNERS, LTD., a Delaware corporation (“Borrower”), GENERAL ELECTRIC CAPITAL CORPORATION, as administrative agent (in such capacity, “Administrative Agent”), and the financial institutions or other entities from time to time party to the Credit Agreement referred to below (collectively, “Lenders”).
