THIS AGREEMENT, dated as of June 24, 2010, is made by and between Armstrong World Industries, Inc., a Pennsylvania corporation (the “Company”), and Matthew Espe (the “Executive”) and is effective as of the effective date set forth in the Executive’s employment agreement dated as of June 24, 2010 (the “Effective Date”).

THIS AGREEMENT (the “Agreement”) is hereby entered into as of the 24th day of June, 2010 and is effective as of July 26, 2010 or such other date on or before August 1, 2010 as may be mutually agreed by the parties (the “Effective Date”), by and between Armstrong World Industries, Inc. (the “Company”) and Matthew Espe (“Executive”) (each hereinafter referred to as a “party” and collectively as “the parties”).
