This Amended and Restated Rights Agreement (this “Agreement”), dated as of July 2, 2010, is made by and between Teekay Corporation, a Marshall Islands corporation (the “Company”), and The Bank of New York Mellon (formerly known as “The Bank of New York”), a New York banking corporation, (the “Rights Agent”).
