This Asset Purchase Agreement (“Agreement”) is dated as of July 1, 2010 by and among Local.com Corporation, a Delaware corporation with a principal address of One Technology Drive, Building G, Irvine, CA 92608 (“Buyer”); and Simply Static LLC (d.b.a. Octane360), a Delaware limited liability company with a principal address of 1845 South Elena Avenue, 4th Floor, Redondo Beach, CA 90277 (“Seller”).
