THIS EMPLOYMENT AGREEMENT (this “Agreement”) is made and entered into as of July 8, 2010, by and between NuPathe Inc. (the “Employer”), a Delaware corporation, and Gerald W. McLaughlin (the “Employee”), but is effective as of the effective date of the registration statement relating to the Employer’s initial public offering (the “Effective Date”).
