This Purchase and Sale Agreement (the “Agreement”), is dated this 23rd day of July, 2010, by and between Delta Petroleum Corporation, a Delaware corporation (“Seller”), whose address is 370 17th Street, Suite 4300, Denver, CO 80202, and Wapiti Oil & Gas, L.L.C., a Delaware limited liability company (“Buyer”), whose address is 800 Gessner, Suite 1000, Houston, Texas 77024, with Buyer and Seller collectively and individually referred to as the “Parties” or the “Party”.
