The undersigned understands that Morgan Stanley & Co. International plc (“Morgan Stanley”), as Representative of the several Underwriters named in the Underwriting Agreement (as defined below), proposes to enter into an Underwriting Agreement (the “Underwriting Agreement”) with MakeMyTrip Limited, a public company limited by shares incorporated under the laws of Mauritius (the “Company”), and certain shareholders of the Company listed in Schedule II to the Underwriting Agreement (the “Selling Shareholders”) providing for the public offering (the “Public Offering”) by the several Underwriters, including Morgan Stanley (the “Underwriters”), of ordinary shares (the “Shares”) of par value $0.0005 per share of the Company (the “Ordinary Shares”).
