This REGISTRATION RIGHTS AGREEMENT dated August 3, 2010 (the “Agreement”) is entered into by and among Tenneco Inc., a Delaware corporation (the “Company”), the guarantors listed in Schedule 1 hereto (the “Guarantors”), and the several initial purchasers listed in Schedule 2 hereto (the “Initial Purchasers”), for whom Deutsche Bank Securities Inc. is acting as representative.
