THIS AGREEMENT is made and entered into as of this 16th day of August, 2010 (the “Grant Date”) by and between Covanta Holding Corporation, a Delaware corporation (the “Company”), and Sanjiv Khattri (the “Employee”), pursuant to the Covanta Holding Corporation Equity Award Plan for Employees and Officers (the “Plan”).
