THIS SHAREHOLDER RIGHTS PLAN AGREEMENT dated August 16, 2010 between POTASH CORPORATION OF SASKATCHEWAN INC. (the “Corporation”), a corporation incorporated under the laws of Canada, and CIBC MELLON TRUST COMPANY, a trust company incorporated under the laws of Canada, as Rights Agent (the “Rights Agent”, which term shall include any successor Rights Agent hereunder).
