THIS THIRD AMENDED AND RESTATED CREDIT AGREEMENT, dated as of August 24, 2010, is among FERRO CORPORATION, an Ohio corporation (the “Company”), certain Subsidiaries of the Company from time to time party hereto (each a “Designated Borrower” and together with the Company, each a “Borrower” and collectively the “Borrowers”), the various financial institutions and other Persons from time to time party hereto (the “Lenders”), PNC BANK, NATIONAL ASSOCIATION (“PNC Bank”), as the administrative agent for the Lenders (in such capacity, together with its successors, the “Administrative Agent”), the collateral agent for the Secured Parties (as defined below) (in such capacity, together with its successors, the “Collateral Agent”) and as the Issuer (as defined below), and JPMORGAN CHASE BANK, N.A. and BANK OF AMERICA, N.A., as the syndication agents (collectively in such capacities, the “Syndication Agents”).
