This THREE-YEAR CREDIT AGREEMENT (this “Agreement”) dated as of August 20, 2010 is entered into among THE DETROIT EDISON COMPANY, a Michigan corporation (the “Borrower”), the banks, financial institutions and other institutional lenders (the “Initial Lenders”) listed on the signature pages hereof, and BARCLAYS BANK PLC (“Barclays”), as Administrative Agent (the “Agent”) for the Lenders (as hereinafter defined).
