This Settlement Agreement and Release (“Agreement”) is made and entered into between Harrah’s Operating Company, Inc. (“HOC”) and Harrah’s Entertainment, Inc. (“HEI” and, collectively with HOC, “Harrah’s”), and PROS Revenue Management, L.P. (“PROS”). Each of the parties to this Agreement may be referred to individually as a “Party,” and collectively as the “Parties.”
