This Employment Agreement (this “Agreement”) is made and entered into as of the 7th day of September, 2010 between ViewCast.com, Inc. (the “Employer”), a corporation, and Adrian Giuhat (the “Executive”), residing at 2816 Fenwick Lane, Plano, TX 75093. Where not otherwise defined herein, capitalized terms used herein have the meanings set forth in Section 9.1 of this Agreement.
