This REGISTRATION RIGHTS AGREEMENT, dated as of September 8, 2010 (this “Agreement”), is entered into by and between USG CORPORATION, a Delaware corporation (the “Company”), and EVERCORE TRUST COMPANY, N.A., solely in its capacity as duly appointed and acting investment manager (the “Manager”) of a segregated account held in the USG Corporation Retirement Plan Trust (the “Trust”) created under the USG Corporation Retirement Plan (the “Plan”).
