ABL CREDIT AGREEMENT, dated as of August 13, 2010 (this “Agreement”), by and among AMSCAN HOLDINGS, INC., a Delaware corporation (“Amscan”), AAH HOLDINGS CORPORATION, a Delaware corporation (“Holdings”), the subsidiaries of Amscan from time to time party hereto, the Lenders (as defined in Article 1), WELLS FARGO RETAIL FINANCE, LLC (“WFRF”), as administrative agent and collateral agent for the Lenders (in its capacity as administrative and collateral agent, the “Administrative Agent”), BANK OF AMERICA, N.A, as syndication agent for the Lenders (in its capacity as syndication agent, the “Syndication Agent”) and RBS BUSINESS CAPITAL, a division of RBS Asset Finance, Inc., a subsidiary of RBS Citizens, NA, TD BANK, N.A. and SUNTRUST BANK, as co-documentation agents (in their capacity as co-documentation agents, the “Co-Documentation Agents”).
