TAL Education Group, an exempted company with limited liability incorporated under the laws of the Cayman Islands (the “Company”), proposes to issue and sell to the several Underwriters named in Schedule I hereto (the “Underwriters”) an aggregate of [•] American depositary shares (the “ADSs”), each representing [•] Class A common shares of the Company, par value US$0.001 per share (the “Common Shares”).
