THIS STOCK PURCHASE AGREEMENT (this “Agreement”) is entered into as of this 13th day of September, 2010, by and among (i) Global Defense Technology & Systems, Inc., a Delaware corporation (the “Buyer”), (ii) Zytel Corporation, a Florida corporation (the “Company”) and (iii) Peter K. Krusell (the “Stockholder”, and collectively with the Company, the “Seller Parties”). The Buyer, the Company and the Stockholder are referred to herein individually as a “Party” and collectively as the “Parties”. The capitalized terms used herein and not otherwise defined herein have the meanings given to such terms as set forth in Appendix A hereto.
