This Warrant was issued pursuant to that certain Securities Purchase Agreement dated as of May 20, 2010 (the “Securities Purchase Agreement”) by and between the Company and the Holder. For the avoidance of doubt, this Warrant is the “Warrant” referred to in the Securities Purchase Agreement and the “Warrant Shares” (as further defined herein) are the Warrant Shares referred to in the Securities Purchase Agreement. The Securities Purchase Agreement contains terms and conditions governing the rights of the Holder with respect to this Warrant, and all provisions of the Securities Purchase Agreement are hereby incorporated herein in full by reference.
