THIS AGREEMENT (this “Agreement”) is entered into as of November 1, 2010 (the “Effective Date”), between NCI Building Systems, Inc., a Delaware corporation (the “Company”), and its wholly-owned subsidiary, NCI Group, Inc., a Nevada corporation (“Employer”), and Richard W. Allen, a resident of the State of Texas (“Employee”). The Company, Employer and Employee are sometimes hereinafter collectively referred to as the “Parties.”
