This [Amended and Restated] Executive Agreement (the “Agreement”), by and among iRobot Corporation, a Delaware corporation (the “Company”), and the executive named below (“Executive”), sets forth the terms and conditions by which the Company will provide certain benefits for Executive under certain circumstances in the event of a termination of Executive’s employment with the Company. The effective date of this Agreement shall be the date of last execution as set forth below (the “Execution Date”).
