This NONQUALIFIED STOCK OPTION AGREEMENT (the “Option Agreement”), dated as of the 20th day of October, 2010 (the “Grant Date”), is between Transdel Pharmaceuticals, Inc., a Delaware corporation (the “Company”), and Dr. John Bonfiglio (the “Optionee”), the Chief Executive Officer and a director of the Company , pursuant to the Transdel Pharmaceuticals, Inc. 2007 Incentive Stock and Awards Plan (the “Plan”). Defined terms not explicitly defined in this Nonqualified Stock Option Agreement but defined in the Plan shall have the same definitions as in the Plan.
