This SECOND AMENDED AND RESTATED RECEIVABLES SALE AGREEMENT, dated as of November 10, 2010, is by and between The Timken Corporation, an Ohio corporation (“Originator”), and Timken Receivables Corporation, a Delaware corporation (“Buyer”).
