THIS EMPLOYMENT AGREEMENT (“Agreement”) is made and entered into on this ____ day of __________, 2010, by and between DAVID NOCIFORA (“Executive”) and CTPARTNERS EXECUTIVE SEARCH LLC, a Delaware limited liability company (the “Company”), effective as of the time of the filing of the Certificate of Conversion with the Secretary of State of the State of Delaware providing for the conversion of the Company into CTPartners Executive Search Inc., a Delaware corporation (the “Effective Time”).
