This Amendment No. 16 (the “Amendment”) to the Second Amended and Restated Agreement and Declaration of Trust of AIM Counselor Series Trust (Invesco Counselor Series Trust) (the “Trust”) amends, effective October 29, 2010, the Second Amended and Restated Agreement and Declaration of Trust of the Trust dated as of September 14, 2005, as amended (the “Agreement”).

This FOREIGN ASSETS DELEGATION AGREMEENT (the “Agreement”) is made this 6th day of November, 2006 by and between A I M ADVISORS, INC., a Delaware corporation (“AIM”) and each registered investment company (the “Investment Companies”) and its respective portfolios as listed on Schedule A attached hereto (the “Funds”), as the same may be amended from time to time.
