This FX PRIME BROKERAGE AGREEMENT (“Agreement”), dated as of July 8, 2005, by and between UBS AG (“UBS”) and Gain Capital, Inc. (“Customer”) sets forth certain terms and conditions relating to the establishment of a facility (the “Facility”) through which Customer may trade foreign exchange transactions with various Dealers.
