This Consulting Agreement (the “Agreement”) is made and entered into this 14th day of November, 2009, by and between American Pacific Corporation, a Delaware corporation having its principal place of business at 3883 Howard Hughes Parkway, Suite 700, Las Vegas, Nevada 89169 (the “Company”), and Discovery Partners International LLC, a Virginia limited liability company having its principal place of business at 1818 South Lynn Street, Arlington, Virginia 22202 (the “Consultant”).
