THIS STOCK PURCHASE AGREEMENT (the “Agreement”) is made as of the 21st day of December, 2010, by and among SciQuest, Inc., a Delaware corporation (“Buyer”), and Yitao (Tom) Ren (“Ren”), Ying (Lily) Xiong (“Xiong”), John Paul Gutierrez (“Gutierrez”) and Ronald Dressin (“Dressin”) (Ren, Xiong, Gutierrez and Dressin are sometimes referred to herein individually as a “Shareholder” and collectively as the “Shareholders”).
