This STOCKHOLDER AGREEMENT (this “Agreement”), dated as of December 30, 2010, is entered into by and among McMoRan Exploration Co., a Delaware corporation (the “Issuer”), Freeport-McMoRan Preferred LLC, a Delaware limited liability company (“Purchaser Sub”), and Freeport-McMoRan Copper & Gold Inc., a Delaware corporation (“Freeport”).

This REGISTRATION RIGHTS AGREEMENT (this “Agreement”) is made and entered into as of December 30, 2010, by and between McMoRan Exploration Co., a Delaware corporation (“Seller”), and Freeport-McMoRan Preferred LLC, a Delaware limited liability company (“Purchaser”). Purchaser and Seller are sometimes referred to collectively as the “Parties” and individually as a “Party.”
