FOR VALUE RECEIVED, each of the undersigned, MOENIUM HOLDINGS LLC, a Nevada limited liability company (“Moenium”), CM HEALTH HOLDINGS LLC, a Nevada limited liability company (“CM Health”), POLK HEALTH HOLDINGS LLC, a Nevada limited liability company (“Polk”), and LUFKIN HEALTH HOLDINGS LLC, a Nevada limited liability company (“Lufkin”; Moenium, CM Health, Polk and Lufkin, each, a “Borrower” and, collectively, “Borrowers”), jointly and severally, unconditionally promises to pay to the order of RBS ASSET FINANCE, INC. (“Lender”) the principal sum of THIRTY FIVE MILLION DOLLARS ($35,000,000), which is the original principal amount of the Loan made by Lender on the date hereof.
