STOCK PURCHASE AGREEMENT (this “Agreement”) dated January 5, 2011, between Solar Power, Inc., a California corporation with headquarters located at 1115 Orlando Avenue, Roseville, California 95661 (the “Company”), and LDK Solar Co., Ltd., a company incorporated under the laws of Cayman Islands (the “Purchaser”).

This VOTING AGREEMENT (this “Agreement”), dated as of December 31, 2010, is entered into by and between STEPHEN C. KIRCHER, and LDK SOLAR CO., LTD., a company incorporated under the laws of Cayman Islands (the “Purchaser”). Capitalized terms used but not otherwise defined herein shall have the respective meanings attributed to them in the Stock Purchase Agreement (as defined below).
