This VOTING AGREEMENT (this “Agreement”), dated January 5, 2011, is entered into by and between STEPHEN C. KIRCHER, and LDK SOLAR CO., LTD., a company incorporated under the laws of Cayman Islands (the “Purchaser”). Capitalized terms used but not otherwise defined herein shall have the respective meanings attributed to them in the Stock Purchase Agreement (as defined below).
