THIS PURCHASE AGREEMENT (together with all exhibits attached hereto and any and all amendments hereto made in accordance with the terms hereof, this “Agreement”) is made and entered into as of the 29 day of December, 2010 (the “Agreement Date”), by and among FRISCO SURGERY CENTER LIMITED, a Texas limited partnership (“Seller#1”), FRISCO POB I LIMITED, a Texas limited partnership (“Seller#2”), FRISCO POB II LIMITED, a Texas limited partnership (“Seller#3”), and MEDLAND L.P., a Texas limited partnership (“Seller#4”; together with Seller#1, Seller#2, Seller#3, being collectively referred to hereinafter as the “Sellers”; each of the Sellers being sometimes referred to singularly hereinafter as a “Seller”), and HEALTHCARE REALTY TRUST INCORPORATED, a Maryland corporation (“Purchaser”).
