THIS PALLADIUM SALES AGREEMENT (this “Agreement”) is made and entered into this 17th day of December, 2010, to be effective as of January 1, 2011 (the “Effective Date”), by and between STILLWATER MINING COMPANY, a Delaware corporation, whose address is 1321 Discovery Drive, Billings, Montana 59102 (“SMC”), and GENERAL MOTORS LLC, a Delaware limited liability company, whose address is 100 Renaissance Center, Detroit, Michigan 48265-1000 (“GM”).
