THIS FIRST AMENDMENT AGREEMENT dated as of 28, February 2011 (this “Amendment Agreement”) amends the Multicurrency Letter of Credit Facility Agreement originally dated as of 6 October, 2009 (the “Facility Agreement”) among Aspen Insurance Limited, Aspen Insurance UK Limited (together, the “Borrowers”) and Barclays Bank PLC (the “Issuing Bank”). Capitalized terms used but not defined herein have the respective meanings set forth in the Facility Agreement, and the principles of construction set forth in Section 1.2 of the Facility Agreement shall apply to this Amendment Agreement as if set forth in full herein.
