THIS 2013 RETENTION AWARD AGREEMENT (this “Agreement”) is made and entered into as of the 15th day of December, 2010, by and between Piedmont Natural Gas Company, Inc., a North Carolina corporation (the “Company”) and (the “Participant”) pursuant to the Piedmont Natural Gas Company, Inc.
