This Amended and Restated Executive Severance Agreement (“Agreement”), including the attached Exhibit “A,” which is incorporated herein by reference and made an integral part of this Agreement, is entered into between U.S. Concrete, Inc., a Delaware corporation (the “Company”), and Gary J. Konnie (“Executive”) effective as of October 1, 2010 (the “Effective Date”). This Agreement supersedes in its entirety the executive severance agreement entered into between Executive and the Company effective as of July 31, 2007, and amended effective December 31, 2008. In consideration of the mutual agreements, provisions and covenants contained herein, and intending to be legally bound hereby, the Company and Executive agree as follows:
