This MEMBERSHIP INTEREST PURCHASE AGREEMENT (this “Agreement”), dated as of March 25, 2011, is made by and among GTCS Holdings LLC, a Delaware limited liability company (the “Company”), GTH LLC, a Delaware limited liability company (“Seller”), and Walter Investment Management Corp., a Maryland corporation (“Buyer”). The Company, Seller and Buyer shall be referred to herein from time to time collectively as the “Parties”. Capitalized terms used but not otherwise defined herein have the meanings set forth in Section 1.1.
