This STOCK PURCHASE AGREEMENT (this “Agreement”), dated as of April 1, 2011 (the “Closing Date”), is by and between MOLYCORP MINERALS, LLC, a Delaware limited liability company (the “Purchaser”), and TREIBACHER INDUSTRIE AG, a company organized under the laws of Austria (the “Seller”). The Purchaser and the Seller are sometimes referred to in this Agreement together as the “Parties” or individually as a “Party”.

This STOCK PURCHASE AGREEMENT (this “Agreement”), dated as of April 1, 2011 (the “Closing Date”), is by and among MOLYCORP, INC., a Delaware corporation (“MCP”), MOLYCORP MINERALS, LLC, a Delaware limited liability company and wholly-owned subsidiary of MCP (the “Purchaser” and together with MCP, “Molycorp”), and AKTSIASELTS SILMET GRUPP, a public limited company organized under the laws of the Republic of Estonia (Commercial Register Code 10228997) (the “Seller”). MCP, the Purchaser and the Seller are sometimes referred to in this Agreement collectively as the “Parties” or individually as a “Party”.
